Terms of Service
Updated October 26, 2026: the website terms (sections 2, 4, 5 and 6).
These Terms of Service ("Terms") govern your use of the services provided by Pivot Labs LLC, a Connecticut limited liability company doing business as LEADKEEPER ("LEADKEEPER," "we," "us," or "our").
By signing up for LEADKEEPER, running the Silence Test, or ordering a website build, you agree to these Terms. Please read them before you provide a payment method.
1. Who we are and what we provide
LEADKEEPER provides lead-response and growth-infrastructure services to local service businesses. There is one plan, called LEADKEEPER, and one optional separate product, the website build with its care plan (Section 6).
The LEADKEEPER plan includes, as described on our website at the time you sign up: every lead texted back in under 30 seconds; instant missed-call text-back; after-hours capture with replies catered to the hour; the Instant Quote Card; real-time owner alerts; visibility and SEO work on your Google listing; review capture after every job; the Competitor Watchtower; the Owner's Morning Text; the Proof Scoreboard with the Lost Revenue Counter and map position; and one deep monthly report.
Some of these features roll out on the launch schedule shown on our website, and each such feature is marked there. We do not charge separately for a feature that has not rolled out, and the plan price is not contingent on its release.
2. The free trial — the one story
New customers receive a free trial through day 15 of the LEADKEEPER plan. Service begins on the day you sign up, and you receive the full functionality of the plan during the trial.
A valid payment method is required at signup. Your card is saved, not charged, for the service.
Your first charge for the service lands on day 16 — that is, 15 days after the day you sign up. If you cancel on or before day 15, you owe nothing for the service. This is the promise on our website — "Fire us by day 15 if we haven't earned it" — and these Terms make it exact: cancel through day 15 for nothing; the first service charge is on day 16.
The website is a separate product (Section 6). If you order it at signup, its $1,000 is charged to your card at checkout, during the trial. That $1,000 is non-refundable, and the trial's free cancellation does not apply to it.
We will not extend a trial or issue a second trial to the same business or the same email address except at our discretion.
3. The plan and its price
LEADKEEPER is billed monthly in advance at $499 per month, or annually at $4,990 paid upfront — ten times the monthly rate, covering twelve months of service, effectively two months at no charge.
Prices are in U.S. dollars and exclude any applicable taxes. We may change our prices, but a price change will not affect your current billing term; we will give you notice before any change takes effect for you.
3A. The response-time guarantee
We guarantee a first reply to a lead within 30 seconds of the inquiry reaching our system.
If any lead-facing first reply in a paid billing month exceeds 30 seconds, that month is free. A lead that receives no delivered first reply at all counts as exceeded; a lead who has opted out of messages, or whom the law does not allow us to message, is not counted.
If we miss the guarantee in a paid month, LEADKEEPER applies a credit for that month to your next invoice within 10 days of the month closing. You don't need to ask. Annual customers receive a refund of one month at $499, issued to the original payment method. We measure every response and report it to you.
The guarantee applies to paid billing months; the free trial has no charge to credit. It covers the speed of our reply. It does not guarantee that a lead will respond, book, or purchase.
4. Billing and payment
Monthly plans renew automatically each month, on the monthly anniversary of your first charge, until cancelled.
Annual plans renew automatically at the end of the twelve-month term unless cancelled before the renewal date.
You authorize us to charge your payment method for all amounts due under these Terms, including the website's $1,000 at checkout, its $500 balance on delivery, and its $99 monthly care from delivery (Section 6).
If a payment fails, our payment processor retries the card on its own schedule and emails you. If payment isn't received within 14 days, we may pause service until it's resolved, and we'll tell you before we do. You are responsible for keeping your payment method current.
5. Cancellation and refunds
Monthly plans. You may cancel at any time. Cancellation takes effect at the end of your current paid month, and you retain access until then. We do not refund partial months on monthly plans.
Annual plans. You may cancel an annual plan at any time. We refund each whole month remaining in your term at $499. The month in which you cancel is not refunded. Example: you pay $4,990 and cancel during month 7; five whole months remain; your refund is 5 × $499, or $2,495. Refunds are issued to the original payment method and may take several business days to appear.
If you cancel during the free trial — the clean detach. If you cancel on or before day 15: we stop responding to inquiries on your behalf; we release any phone number we provisioned for your account; and on request we return your customer inquiry records to you, at no cost. You owe nothing for the service. A website ordered at signup is unaffected: the build continues, the $1,000 stays paid, the $500 balance is due on delivery, and care runs from delivery for as long as you keep the site (Section 6).
What happens when service ends. When your plan ends for any reason, we stop responding to inquiries on your behalf, and any phone number we provisioned for your account is released. See Section 7 regarding websites.
6. The website — a separate product
The website build is offered separately from the LEADKEEPER plan. The website is ordered together with the LEADKEEPER plan at signup.
The price. The website is $1,500, paid in two parts: $1,000 at checkout, which is non-refundable, and $500 on delivery. It is followed by the Website Care plan at $99 per month, which begins at delivery and is charged to the same card. The website and the care plan are sold together and cannot be separated.
Separate products. The free trial and its free cancellation apply to the LEADKEEPER service. The website, once ordered, is its own purchase under its own terms. Ending the LEADKEEPER plan, during the free trial or after it, does not change the website order, and the website obligates nothing on the service.
When work begins. Work begins when the $1,000 is charged — at checkout, including during the free trial.
Timeline. From the later of the day work begins and the day we receive your content (text, images, service descriptions, and any other materials we request), we deliver a first version within 5 business days and the site goes live within 10 business days. Delays in providing content extend these timelines accordingly.
Delivery. The site is delivered when we declare it delivered after you have seen it. The $500 balance is charged to the card on file that day, and the $99 monthly care begins that day on the same card and renews monthly from that date.
No refund of the $1,000. The $1,000 paid at checkout is non-refundable. This is stated where you add the website and again before you enter your card.
The care plan includes hosting — we host your website and keep it online; unlimited small edits — content, text, images and page changes, at no additional charge; and a quarterly performance review, delivered four times a year.
Taxes. All prices are exclusive of applicable taxes.
We do not offer a site-only build.
7. What happens to your website if the care plan ends
Your website is hosted as part of the $99-per-month Website Care plan. If the care plan ends — whether you cancel it or it lapses for non-payment — your website will be taken offline.
The $1,500 build fee covers the design and construction of the site. It does not purchase ongoing hosting, and it does not transfer ownership of the site to you. The reduced build price is possible because the care plan carries it over time. Please make sure you understand this before purchasing a website build; if you have any question about it, ask us before you buy.
8. The Silence Test
Our website offers the Silence Test to business owners. When you run it, you tell us your business, you tick two boxes — that you own the business or are authorized to act for it, and the messaging consent below — and you give us the mobile number to text.
What we send. With your consent we send up to two text messages, from our number to that number: a sample customer inquiry, so you can time your own reply, and the reply LEADKEEPER would send to a customer. Nothing more is sent for the test. Your reply to the sample inquiry, if you send one, is received by us and used only to stop your clock and show you your own time.
One test per business. Each business may run the test once. We also limit how many tests run from one connection and in one day.
Stopping. Reply STOP to any text and we stop at once: the test ends and nothing more is sent to that number. Message and data rates may apply.
The test measures what it says on the screen and nothing else. It sends no inquiry to your business through any channel other than the text to the number you gave us.
9. SMS and text messaging terms
By providing a mobile number, running the Silence Test, or enabling text messaging features, you agree to the following.
Consent. Messages are sent only to consumers who have contacted a business we serve and consented to receive text replies; to a consumer who called a business we serve, did not get through, and pressed 1 during that call for a text back, who then receives one text reply to that call; to a consumer who texts a business we serve first, who then receives one reply to that text; to a customer of a business we serve who agreed in writing with that business to receive text messages about a completed job, who then receives one request to review that business; to you as our customer regarding your account and your leads; or to a business owner who has run the Silence Test with the consent it asks for. Consent is not a condition of purchase.
Message frequency varies based on the volume of inquiries and the course of each conversation; the Silence Test sends up to two messages.
Message and data rates may apply. Your mobile carrier's standard rates apply to messages you send and receive. Pivot Labs does not charge you to send or receive messages.
Opt out. Reply STOP to any message to opt out of further messages at any time. You'll get one final confirmation message and nothing further. Opting out of one of our numbers opts you out everywhere we message.
Help. Reply HELP for our contact information, or email us at hello@pivotlabsllc.com.
Carriers. Mobile carriers are not liable for delayed or undelivered messages. Message delivery depends on mobile carriers and third-party providers and cannot be guaranteed.
Privacy. We do not sell or share SMS opt-in data or personal information with third parties for marketing purposes. See our Privacy Policy at https://pivotlabsllc.com/privacy.
10. Your responsibilities
You agree to: provide accurate information about your business, services, and pricing, and keep it current; provide the access we need to perform the services, including any phone-line settings, business listing access, or website credentials we request; ensure that any customer information you provide to us was collected lawfully and with any consent required; use the services only for lawful purposes and in compliance with applicable law, including telecommunications and consumer-protection rules; and not use the services to send unsolicited marketing messages to consumers who have not consented.
If you enable review requests, you will collect and keep each customer's written agreement to receive text messages about the job, record with us who collected it, when, in what form and its words before any request is sent, and offer nothing in exchange for a review.
You are responsible for the accuracy of the information we communicate on your behalf. If your prices, availability, service area, or hours change, tell us.
11. Our responsibilities and limitations
We will provide the services with reasonable skill and care.
We do not guarantee results. Apart from the response-time guarantee in Section 3A, we do not guarantee any particular number of leads, customers, calls, bookings, revenue, search ranking, or review volume. Marketing and lead-response outcomes depend on many factors outside our control, including your market, your pricing, your availability, and how you handle the customers we connect you with.
Service availability. We aim for continuous service but do not guarantee uninterrupted or error-free operation. Services depend on third-party providers, including telecommunications carriers and hosting infrastructure, and may be affected by their outages, filtering decisions, or policy changes.
12. Intellectual property
We retain ownership of our software, systems, processes, templates, and methods. You retain ownership of your business content — your logo, text, images, and customer information — and grant us the license needed to use it in performing the services. Your Google Business Profile is yours; we work inside it under your account. Website ownership is governed by Sections 6 and 7.
13. Confidentiality and data
We handle your business information and your customers' information in accordance with our Privacy Policy at https://pivotlabsllc.com/privacy.
On termination, you may request an export of your customer inquiry records within 30 days. After that period we may delete your data in the ordinary course.
14. Suspension and termination by us
We may suspend or terminate your account if you: fail to pay amounts due (on the schedule in Section 4); violate these Terms or applicable law; use the services in a way that risks our standing with carriers, hosting providers, or other partners; or provide false information about your business. Where reasonable, we will give notice and an opportunity to correct the problem first.
15. Limitation of liability
To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the services is limited to the amount you paid us in the three (3) months preceding the event giving rise to the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business, or lost opportunities, even if we have been advised of the possibility. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to indemnify and hold harmless Pivot Labs LLC and its members, officers, and agents from any claim arising out of information you provide to us, your use of the services, your violation of these Terms, or your violation of any law or third-party right.
17. Changes to these Terms
We may update these Terms. If we make a material change, we will notify you by email or through the service before it takes effect. Continued use after the effective date constitutes acceptance. The "Last updated" date at the top reflects the current version.
18. Governing law and disputes
These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles. Any dispute will be brought in the state or federal courts located in Connecticut, and you consent to their jurisdiction.
19. General
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the services. Severability. If any provision is found unenforceable, the remaining provisions remain in effect. No waiver. Our failure to enforce a provision is not a waiver of it. Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
